Confidentiality terms for suppliers

These terms apply to your company and to everyone who uses this platform on its behalf.

  1. Confidential information. Everything made available to you through this platform is confidential information of Yanbu Pump Factory and its technology partner. This includes drawings, specifications, technical data, quantities, schedules, commercial terms, messages, and the existence and details of this project.
  2. Purpose. You will use confidential information only to prepare, clarify and submit your proposals for this project.
  3. No disclosure. You will not disclose confidential information to any third party, except to your own employees and advisers who need it for that purpose and are bound by equivalent confidentiality obligations. Your company is responsible for their compliance.
  4. Personal access. Your login is personal. You will not share your access, and you will not copy or extract platform content beyond what your proposal requires.
  5. Your proposals. Your proposals and messages are visible only to your company and to the authorised Yanbu Pump Factory project team. Accepted proposals may be shared with the project's financing bodies. They are used only to evaluate and deliver this project.
  6. Exceptions. These obligations do not apply to information that is or becomes public through no fault of yours, that you already lawfully held, or that you must disclose by law or by order of a competent authority. In that case you will notify us promptly where permitted.
  7. Return or deletion. On our request, or when the project ends, you will delete or return confidential information, except copies you must keep by law.
  8. Duration. These obligations continue for five (5) years after your company's last access to the platform.
  9. Law. These terms are governed by the laws of the Kingdom of Saudi Arabia, and the competent courts of the Kingdom have jurisdiction.
  10. Authority. By accepting, you confirm that you are authorised to accept these terms on behalf of your company.

شروط السرية للموردين

تسري هذه الشروط على شركتكم وعلى كل من يستخدم هذه المنصة نيابةً عنها.

  1. المعلومات السرية. كل ما يُتاح لكم عبر هذه المنصة يُعد معلومات سرية خاصة بمصنع ينبع للمضخات وشريكه التقني، ويشمل ذلك المخططات والمواصفات والبيانات الفنية والكميات والجداول الزمنية والشروط التجارية والرسائل، ووجود هذا المشروع وتفاصيله.
  2. الغرض. تلتزمون باستخدام المعلومات السرية فقط لغرض إعداد عروضكم لهذا المشروع وتوضيحها وتقديمها.
  3. عدم الإفصاح. تلتزمون بعدم الإفصاح عن المعلومات السرية لأي طرف ثالث، باستثناء موظفيكم ومستشاريكم الذين يحتاجون إليها لهذا الغرض والملتزمين بالتزامات سرية مماثلة، وتكون شركتكم مسؤولة عن التزامهم بذلك.
  4. الدخول الشخصي. حساب الدخول شخصي. تلتزمون بعدم مشاركة صلاحية الدخول، وبعدم نسخ محتوى المنصة أو استخراجه بما يتجاوز ما يتطلبه إعداد عرضكم.
  5. عروضكم. لا يطّلع على عروضكم ورسائلكم إلا شركتكم وفريق مشروع مصنع ينبع للمضخات المخوَّل. ويجوز مشاركة العروض المقبولة مع جهات تمويل المشروع، ولا تُستخدم إلا لتقييم هذا المشروع وتنفيذه.
  6. الاستثناءات. لا تسري هذه الالتزامات على المعلومات المتاحة للعموم أو التي تصبح كذلك دون تقصير منكم، أو التي كانت بحوزتكم بصورة نظامية مسبقًا، أو التي يلزمكم النظام أو أمر جهة مختصة بالإفصاح عنها، وفي هذه الحالة تُشعروننا فورًا متى كان ذلك مسموحًا.
  7. الإعادة أو الحذف. عند طلبنا أو عند انتهاء المشروع، تلتزمون بحذف المعلومات السرية أو إعادتها، باستثناء النسخ التي يلزمكم النظام بالاحتفاظ بها.
  8. المدة. تستمر هذه الالتزامات لمدة خمس (5) سنوات بعد آخر دخول لشركتكم إلى المنصة.
  9. النظام الحاكم. تخضع هذه الشروط لأنظمة المملكة العربية السعودية، وتختص بالنظر فيها المحاكم المختصة في المملكة.
  10. الصلاحية. بقبولكم هذه الشروط تؤكدون أنكم مخوَّلون بقبولها نيابةً عن شركتكم.
